Welcome to Finault. These Terms of Service ("Terms") govern your use of the Finault platform and services. By using Finault, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Finault, you agree to be bound by these Terms and our Privacy Policy. If you are using Finault on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Finault provides an AI cost governance platform that helps finance teams:

• Analyze AI provider invoices
• Allocate costs to GL codes and cost centers
• Generate audit-ready Close Packs
• Calculate unit economics
• Enforce budgets via real-time gateway (Business tier)

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

4. Subscription Plans and Payment

4.1 Plans

Finault offers Free, Pro, Business, and Enterprise plans with different features and pricing as described on our pricing page.

4.2 Billing

• Paid plans are billed monthly or annually in advance
• Prices are in USD unless otherwise specified
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension

4.3 Refunds

We offer a 14-day money-back guarantee for new paid subscriptions. After 14 days, fees are non-refundable except as required by law.

4.4 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades are effective immediately; downgrades take effect at the next billing cycle.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to Finault ("Your Data"). You grant us a limited license to process Your Data solely to provide the services.

5.2 Data Processing

We process Your Data as described in our Privacy Policy. We do not:

• Sell Your Data to third parties
• Use Your Data to train AI models
• Access Your Data except as necessary to provide the service

5.3 Data Export

You may export Your Data at any time using the export features in the application or by contacting support.

6. Acceptable Use

You agree not to:

• Use Finault for any illegal purpose
• Upload malicious files or code
• Attempt to gain unauthorized access to our systems
• Interfere with other users' use of the service
• Reverse engineer or decompile our software
• Resell or redistribute the service without permission
• Use automated means to access the service beyond API limits

7. Intellectual Property

Finault and its original content, features, and functionality are owned by Finault, Inc. and are protected by copyright, trademark, and other laws. Our trademarks may not be used without prior written permission.

8. Third-Party Services

Finault integrates with third-party services (e.g., Stripe for payments, AI providers via Gateway). Your use of these services is subject to their respective terms and policies.

9. Disclaimer of Warranties

FINAULT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

• The service will be uninterrupted or error-free
• Results will be accurate or reliable
• The service will meet your requirements

Finault is a tool to assist with financial reporting, not a substitute for professional accounting advice. You are responsible for verifying the accuracy of outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Indemnification

You agree to indemnify and hold harmless Finault, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

12. Termination

You may cancel your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination:

• Your access to the service will cease
• We will delete Your Data according to our retention policy
• Sections 5, 9, 10, 11, and 14 will survive termination

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
